Abu Dhabi has become an important destination for international companies seeking to establish a presence in the UAE and expand into the wider Middle East market. For UK companies, opening a foreign branch in Abu Dhabi can provide a way to operate in the UAE while maintaining a direct connection with the existing British parent company. A branch can be particularly useful for established businesses that want to extend their existing activities rather than create an entirely separate subsidiary.

Abu Dhabi offers a developed business environment, strong infrastructure, international connectivity, and opportunities across sectors including professional services, construction, trading, technology, logistics, manufacturing, energy, and financial services. However, establishing a foreign branch requires the company to follow the applicable licensing, registration, documentation, and compliance procedures.

Understanding these requirements in advance can help UK companies choose the right structure and complete the setup process more efficiently.

What Is a Foreign Company Branch in Abu Dhabi?

A foreign company branch is an extension of an existing overseas company that operates in the UAE under the parent company's name and business activities. Unlike a completely new UAE company, the branch is connected to the foreign parent company.

For a UK company, this means the Abu Dhabi branch can represent and conduct approved activities of the British parent company in accordance with the UAE's licensing and regulatory requirements.

A foreign company cannot simply begin conducting business activities in Abu Dhabi without obtaining the required approvals and licence. UAE regulations require foreign companies establishing branches or offices to complete the applicable registration and licensing procedures.

Why Should UK Companies Open a Branch in Abu Dhabi?

A branch can be a practical option for an established UK company that wants to expand its existing business into the UAE without creating an entirely independent business identity.

Some potential advantages include:

● Establishing a direct presence in the UAE

● Expanding existing UK business activities into Abu Dhabi

● Accessing customers and business opportunities in the region

● Maintaining a connection with the UK parent company

● Building a local team and operational presence

● Exploring long-term opportunities in the UAE and wider Middle East market

Abu Dhabi also provides businesses with access to both mainland and free-zone ecosystems, each offering different advantages depending on the company's activities and objectives.

Is a Branch Different From a UAE Subsidiary?

Yes. A branch and a subsidiary are different structures.

A foreign branch is an extension of the existing UK company. It operates under the parent company's identity and is generally established to carry out approved activities of the foreign company.

A UAE subsidiary, on the other hand, is a separate UAE legal entity. It has its own legal identity and can be structured according to the applicable UAE company formation rules.

Therefore, UK companies should consider their ownership structure, business activities, liability considerations, operational requirements, and long-term expansion plans before choosing between a branch and a subsidiary.

Requirements for Setting Up a UK Company Branch

The exact requirements can vary depending on the business activity and relevant authority. However, UK companies should generally be prepared to provide information and documents relating to the parent company, its activities, ownership, and authorised representative.

Documents may include:

● Certificate of incorporation of the UK company

● Memorandum and Articles of Association or equivalent constitutional documents

● Certificate or extract showing the company's registration details

● Board or shareholder resolution approving the Abu Dhabi branch

● Details of the appointed branch manager or legal representative

● Passport and identification documents of relevant individuals

● Information about the company's business activities

● Lease or business premises documents, where required

Additional approvals for regulated activities

Foreign-issued documents may need to be appropriately authenticated, attested or legalised and translated where required by the relevant authorities.

Steps to Set Up a Foreign Branch in Abu Dhabi

1. Determine the Business Activity

The UK company should first identify exactly what activities the Abu Dhabi branch will conduct. Abu Dhabi's licensing process begins with determining the nature of the business activity, as this affects the licence and any additional approvals required.

2. Choose the Appropriate Setup Route

The company should determine the appropriate jurisdiction and licensing route for its operations. Abu Dhabi provides mainland and free-zone options, with different benefits and requirements.

3. Obtain the Required Parent Company Approvals

The UK parent company generally needs to formally approve the establishment of its Abu Dhabi branch and appoint an authorised representative or manager.

4. Prepare and Authenticate Documents

The required UK corporate documents should be prepared and, where applicable, authenticated or legalised for use in the UAE. Any required Arabic translations should also be completed according to the relevant requirements.

5. Obtain the Branch Licence

The foreign company must obtain the required licence from the competent authority before conducting its approved activities in Abu Dhabi. Abu Dhabi's licensing system covers economic activities and provides licensing services through its official platforms.

6. Complete Federal Registration Requirements

Under the UAE's current framework for foreign company branches, the branch must also complete the applicable registration requirements with the Ministry of Economy and Tourism. Ministerial Decision No. 138/2024 sets out procedures for registering branches and representative offices of foreign companies. Following issuance of the competent authority's licence, the foreign company must submit the registration application and required documents within the specified period.

7. Arrange the Business Premises

Depending on the applicable requirements, the branch may need an approved business location and tenancy documentation. Abu Dhabi's business setup process includes selecting an appropriate location and obtaining the required tenancy agreement where applicable.

8. Complete Post-Licensing Procedures

Once the branch has been licensed and registered, the company may need to complete additional procedures relating to immigration, employees, banking, tax, accounting, and other regulatory obligations depending on its activities.

How Much Does It Cost to Open a UK Company Branch in Abu Dhabi?

There is no single fixed cost for every foreign branch. The total cost can depend on factors such as:

● Business activity

● Licensing authority

● Branch registration fees

● Government charges

● Office or tenancy costs

● Document attestation and translation

● Professional service fees

● Employee visas and immigration requirements

● Additional approvals

Therefore, UK companies should calculate both the initial establishment expenses and ongoing operating costs before choosing their branch structure.

Tax and Compliance Considerations

A UK company establishing a branch in Abu Dhabi should consider its UAE tax and accounting responsibilities as part of the setup process. Depending on the branch's activities, revenue, and circumstances, the business may have obligations relating to UAE Corporate Tax, VAT, accounting records, financial statements, and other regulatory requirements.

Foreign company branches also have specific registration and reporting requirements under the UAE framework. For example, the current ministerial rules provide for renewal of branch registration and require specified documents, including the branch licence and certain financial information, where applicable.

Professional tax and accounting advice should be obtained where the company's circumstances are complex.

Can a UK Company Operate in Abu Dhabi Without a Branch?

Not necessarily. The appropriate structure depends on how the UK company intends to operate in the UAE.

A company may consider a branch, a new UAE company, or another permitted structure depending on its business activity and objectives. The important point is that the company should obtain the correct licence and approvals before conducting regulated business activities in Abu Dhabi.

Common Challenges for UK Companies

UK companies establishing a branch in Abu Dhabi may encounter challenges such as preparing corporate documents correctly, completing document authentication, selecting the appropriate business activity, understanding licensing requirements, and coordinating different government procedures.

Companies operating in regulated industries may also need additional approvals before they can begin their activities. Abu Dhabi's official business setup guidance confirms that additional approvals may be required depending on the activity and location.

Proper preparation can help reduce unnecessary delays and make the branch establishment process more organised.
