Why Are UK Companies Setting Up Businesses in Abu Dhabi?

Abu Dhabi provides British businesses with a strategic location between Europe, Asia and the wider Middle East.

Companies establishing operations in Abu Dhabi can potentially benefit from:

Access to UAE and GCC markets
100% foreign ownership for many eligible activities
Mainland and free zone company formation options
International business infrastructure
Access to regional corporate customers
Growing technology and innovation ecosystems
Opportunities across energy and industrial sectors
Strategic connectivity to international markets

For British businesses looking beyond the UK and European markets, establishing an Abu Dhabi presence can also provide a platform for wider regional expansion.

3 Main Business Setup Options for UK Companies in Abu Dhabi

The appropriate structure depends on what your company intends to do in the UAE.

1. Abu Dhabi Mainland Company

An Abu Dhabi mainland company can be suitable for British entrepreneurs and companies planning substantial operations within the UAE market.

Mainland formation may be considered by companies involved in:

The exact licence, ownership structure and approvals depend on the selected business activity.

2. Abu Dhabi Free Zone Company

A free zone company can be attractive to UK entrepreneurs, startups and international businesses looking for a UAE presence within a specialized business ecosystem.

Abu Dhabi has several free zone environments serving different industries.

Depending on the business model, free zone setup can be considered for:

Technology companies
Startups
Consultants
Freelancers
International trading businesses
Media businesses
Financial and professional services
Logistics companies
Industrial businesses
International holding structures

The best free zone should be selected based on business activity, customers, visa requirements, office requirements and long-term expansion plans, rather than licence price alone.

3. UK Company Foreign Branch in Abu Dhabi

Already operating an established company in the United Kingdom?

Your business may be able to establish a foreign company branch in Abu Dhabi rather than incorporating an entirely separate company.

A branch can be particularly relevant when the British parent company wants to maintain a direct corporate connection with its UAE operations.

The suitability of this structure depends on the company's existing activities and proposed UAE business operations.

How to Start a Business in Abu Dhabi from the UK

While the exact process varies by activity and legal structure, the general company formation journey can include the following stages.

Step 1 – Select Your UAE Business Activity

The first question is simple:

What exactly will your company do in Abu Dhabi?

Your activity selection can affect:

Type of licence
Legal structure
Government approvals
Office requirements
Professional requirements
Regulatory requirements

Choosing the appropriate activities from the beginning can prevent unnecessary amendments later.

Step 2 – Choose Mainland, Free Zone or Foreign Branch

UK investors should compare the available structures based on their actual commercial objectives.

Mainland

Can be suitable where the business intends to establish significant operations in the UAE domestic market.

Free Zone

Can suit certain startups, international businesses and companies looking for a sector-specific business environment.

Foreign Branch

Can be considered by an established UK company that wants to extend its existing operations into Abu Dhabi.

Step 3 – Choose the Appropriate Legal Structure

The legal form should reflect:

Number of shareholders
Business activity
Ownership requirements
Existing UK company structure
UAE operational plans
Future expansion strategy

Fimkin can assess these requirements before the incorporation process begins.

Step 4 – Reserve Your Company Name

The proposed UAE business name must comply with the applicable naming requirements.

Established British businesses should also consider whether they intend to use the same corporate or brand name in the UAE.

Trademark and intellectual-property considerations may also be relevant when expanding an established international brand.

Step 5 – Obtain Initial Approval

Once the activity and structure have been determined, the company can proceed with the applicable initial approval process.

Certain business activities may require additional approvals from relevant UAE authorities.

Documents Required for UK Company Formation in Abu Dhabi

Requirements vary depending on whether the applicant is an individual shareholder, corporate shareholder or existing UK company establishing a branch.

Documents can potentially include:

Individual Shareholders

Passport copy
UAE visa copy, where applicable
Emirates ID, where applicable
Contact information
Shareholder details

UK Corporate Shareholder / Parent Company

Depending on the structure, documents may include:

Certificate of Incorporation
Memorandum and Articles of Association
Board Resolution
Power of Attorney
Shareholder/ownership information
Authorized representative documents
Other corporate documents required by the relevant authority

Corporate documents issued in the UK may need to undergo the applicable authentication/legalization process before being accepted for certain UAE procedures.

UK Document Attestation for Abu Dhabi Company Formation

This is an important consideration for British companies establishing UAE operations.

Depending on the structure and authority requirements, UK corporate documents may need to be appropriately authenticated, legalized or attested for use in the UAE.

Examples can include:

Certificate of Incorporation | Board Resolution | Power of Attorney | Articles of Association | Commercial Documents

Incorrectly prepared documents can create delays, so the required legalization route should be confirmed before processing.

Step 6 – Arrange an Abu Dhabi Business Address

Office and premises requirements depend on the licence, jurisdiction and business activity.

Depending on the structure, the company may require:

Physical office
Commercial premises
Approved workspace
Free zone facility
Tenancy documentation

The requirement should be confirmed before signing a long-term lease.

Step 7 – Obtain Additional Government Approvals

Some activities are regulated and may require approvals beyond the standard economic licence.

This can be particularly relevant to businesses operating in areas such as:

Engineering
Healthcare
Education
Transportation
Construction
Financial services
Industrial activities
Oil & gas
Food-related activities
Other regulated professional sectors

The requirements should be assessed according to the exact proposed activity.

Step 8 – Obtain Your Abu Dhabi Business Licence

Once the required approvals, documents and premises requirements have been completed, the company can proceed with the applicable business licence.

After licensing, additional establishment and operational procedures may be required depending on the business.

What Happens After Abu Dhabi Company Formation?

Company incorporation is only the beginning.

Depending on the business, post-formation requirements can include:

Fimkin can also assist businesses with ongoing corporate and PRO-related requirements after company formation.

Can UK Citizens Own 100% of a Company in Abu Dhabi?

For many eligible business activities and company structures, 100% foreign ownership is available.

However, ownership requirements should be checked according to:

Activity
Jurisdiction
Legal structure
Regulatory requirements

British investors should therefore confirm the applicable ownership position before proceeding.

Can You Start an Abu Dhabi Company While Living in the UK?

Depending on the selected setup, significant parts of the company formation process may be coordinated while the investor is outside the UAE.

However, certain procedures may eventually require additional identification, signatures, immigration steps, banking procedures or physical presence.

This should be assessed according to the chosen structure.

Can a UK Company Open a Corporate Bank Account in the UAE?

After establishing the UAE business, the company can apply for a corporate bank account.

Bank approval is not automatic.

Financial institutions generally conduct their own compliance and due-diligence checks, which can include reviewing:

Shareholder information
Business activities
Company structure
Source of funds
Expected transactions
Customers and suppliers
Business model

A genuine and clearly documented business model can therefore be important during the banking process.

Abu Dhabi Business Setup for UK Technology Companies

Abu Dhabi can be considered by British businesses operating in:

UK technology startups can also assess whether a mainland or specialized free zone environment is better aligned with their growth strategy.

Abu Dhabi Company Formation for UK Oil & Gas Companies

British companies involved in the energy sector can explore opportunities in Abu Dhabi across areas such as:

Oilfield services
Energy technology
Engineering
Industrial equipment
Maintenance
Technical services
Consultancy
Manufacturing
Equipment supply
Specialized technology

Companies targeting major oil & gas customers may also need to consider subsequent vendor registration and prequalification requirements separately from company formation.

Abu Dhabi Business Setup for UK Engineering Companies

Engineering and technical consultancy activities can have additional professional and regulatory requirements.

Before incorporation, companies should determine:

Proposed Engineering Activity → Licence Requirements → Professional Requirements → External Approvals → Office Requirements

This is particularly important for an established UK engineering business entering the UAE market.
